Sapiens International Acquired by Advent for $2.5bn in Premium Deal
Sapiens International, an Israel-based insurtech company, has agreed to a significant acquisition. Private equity firm Advent will buy Sapiens for $2.5bn (NIS8.48bn) in an all-cash deal, marking a 64% premium on its last closing price. Sapiens' CEO, Roni Al-Dor, sees this as a major milestone for shareholders.
The acquisition, expected to close between Q4 2025 and Q1 2026, will see Sapiens operate as a private entity with its shares delisted. Formula Systems, a current shareholder, will retain a minority stake. Advent will provide resources and expertise to support Sapiens' global expansion. Sapiens' product suite caters to various sectors, including property and casualty, life insurance, reinsurance, and data analytics, offering AI and automation-driven software-as-a-service solutions.
Sapiens' shareholders will receive $43.50 per share, reflecting the premium. Funds advised by Advent will contribute $1.3bn in equity. The deal is subject to standard closing conditions.
The acquisition of Sapiens by Advent, at a total value of $2.5bn, will see the company operate privately and expand globally. Shareholders will benefit from the premium received, and Formula Systems will retain a minority interest. The deal is expected to close in the next quarter.
